These Terms & Conditions ("Terms") govern access to and use of Proviazo.com and the Proviazo platform and related services (collectively, "Proviazo"). By accessing or using Proviazo, creating an account, submitting a project, accepting a lead or opportunity, purchasing a subscription, or otherwise using the platform, you agree to these Terms. If you do not agree, do not use Proviazo.
1. THE PROVIAZO PLATFORM
Proviazo is a technology platform designed to help customers request services and connect with participating service professionals and businesses ("Pros"). Proviazo may provide project intake, matching, profiles, opportunities, quotes, messaging, reviews, billing tools, notifications, and related features.
Unless expressly stated otherwise, Proviazo is not the contractor or service professional performing the underlying work. Pros are independent parties responsible for the services they offer and perform. Proviazo does not guarantee that a particular Pro will be available, accept a project, provide a quote, or complete work.
2. ELIGIBILITY AND ACCOUNTS
You must be legally capable of entering into a binding agreement to use Proviazo. You agree to provide accurate, current information and to keep it updated. You are responsible for safeguarding your credentials and for activity occurring through your account. Notify Proviazo promptly if you believe your account has been accessed without authorization.
You may not impersonate another person or business, create accounts using false information, misuse another persons contact information, or use Proviazo for unlawful, deceptive, abusive, or fraudulent activity.
3. CUSTOMER PROJECT REQUESTS
Customers are responsible for providing accurate project and contact information. By submitting a project, a customer authorizes Proviazo to process the request and make project information available to participating Pros as reasonably necessary to provide matching, quotes, communications, and related services.
A quote, estimate, message, profile, review, or other information displayed through Proviazo is not a guarantee by Proviazo regarding price, quality, availability, licensing, insurance, safety, or completion of work.
4. PRO RESPONSIBILITIES
Pros are responsible for maintaining accurate business, contact, service-area, pricing, licensing, insurance, and other profile information. Pros are solely responsible for determining and maintaining any licenses, permits, registrations, insurance, bonds, taxes, and legal requirements applicable to their business and services.
Pros are responsible for their communications, quotes, contracts, workmanship, employees, subcontractors, scheduling, collections, warranties, and performance of services for customers. Pros must use customer information obtained through Proviazo only for legitimate purposes related to the customers request and as permitted by applicable law.
5. MATCHES, OPPORTUNITIES, AND LEAD CHARGES
Proviazo may determine matches using factors such as requested service, location, service area, availability, account settings, platform activity, and other matching criteria. A match or opportunity does not guarantee that a customer will hire a Pro or that the Pro will earn revenue.
Depending on the Pros plan and account status, opportunities may be included with a subscription or may result in a lead charge or deduction from a lead-credit balance. The applicable price or charge should be displayed before acceptance when the platform is configured to do so. Pros are responsible for reviewing applicable pricing before accepting an opportunity.
6. SUBSCRIPTIONS, BILLING, AND PAYMENT
Certain Proviazo features may require a paid subscription, prepaid balance, lead credits, or other payment. Prices, included leads, discounts, renewal periods, and plan features are displayed at purchase or in the billing area and may vary by plan.
By purchasing a recurring subscription, you authorize the applicable payment processor to charge the payment method associated with your account according to the selected plan until cancellation takes effect. Unless otherwise stated at checkout, subscriptions renew automatically for successive billing periods until canceled.
You are responsible for applicable taxes, charges, and fees associated with your purchases. Failed or reversed payments may result in suspension or limitation of paid features.
7. CANCELLATIONS, CREDITS, REFUNDS, AND DISPUTES
Subscription cancellation controls and the effective cancellation date are shown through the applicable billing or payment-management interface. Cancellation generally stops future renewals and does not automatically reverse charges already incurred unless required by law or expressly stated otherwise.
Lead disputes, credits, adjustments, and refunds are subject to Proviazos applicable eligibility rules and review. Submitting a dispute does not guarantee a credit or refund. Proviazo may request information reasonably necessary to investigate a claim and may deny requests involving valid opportunities, duplicate requests caused by user action, inaccurate account settings, abuse, or circumstances outside the applicable policy.
8. CUSTOMER-PRO AGREEMENTS
Any contract for actual services is between the customer and the selected Pro unless Proviazo expressly states otherwise. The parties are responsible for agreeing on scope, price, timing, materials, permits, warranties, payment terms, and other terms of the underlying work.
Proviazo is not responsible for resolving every disagreement between customers and Pros, although the platform may provide reporting or dispute tools. Users should exercise appropriate judgment before hiring, paying, entering property, or beginning work.
9. REVIEWS AND USER CONTENT
Users may be permitted to submit project descriptions, messages, photos, reviews, business information, and other content. You retain any rights you have in your content, but grant Proviazo a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, and use that content as reasonably necessary to operate, secure, improve, and promote the platform, subject to applicable privacy obligations.
You may not submit content that is unlawful, fraudulent, defamatory, threatening, harassing, infringing, malicious, misleading, or that violates another persons privacy or intellectual-property rights. Proviazo may moderate, remove, restrict, or preserve content when reasonably necessary to enforce these Terms, protect users, or comply with law.
10. SMS TERMS
SMS notifications are optional and require affirmative opt-in. If you opt in, Proviazo may send transactional text messages concerning the notification categories you select, such as service matches, quotes, account messages, project or job status, review reminders, billing or subscription activity, disputes, and account updates.
Message frequency varies based on account activity. Message and data rates may apply. Reply STOP to opt out or HELP for help. Consent to receive SMS messages is not a condition of purchase. You may also manage supported SMS categories through Notification Preferences.
Carriers are not liable for delayed or undelivered messages. You are responsible for providing a telephone number that you are authorized to use and for updating it if it changes. Proviazo may suspend SMS delivery when consent cannot be verified or when required for compliance or security.
11. EMAIL AND SERVICE COMMUNICATIONS
By maintaining an account, you agree that Proviazo may send operational communications reasonably necessary for the service, including security, account, billing, project, quote, message, dispute, and policy notices. Where required, promotional email will provide an unsubscribe mechanism.
12. ACCEPTABLE USE
You may not scrape or harvest data; interfere with platform operation or security; probe or bypass access controls; introduce malware; send spam; manipulate reviews; create fraudulent projects or leads; misuse payment systems; use customer or Pro information for unrelated solicitation; reverse engineer the platform except where legally permitted; or use Proviazo in violation of law or third-party rights.
13. INTELLECTUAL PROPERTY
Proviazo and its software, branding, designs, text, graphics, databases, and platform features are owned by Proviazo or its licensors and are protected by applicable intellectual-property laws. Except for the limited right to use the platform under these Terms, no rights are transferred to you.
14. THIRD-PARTY SERVICES
Proviazo may use or link to third-party services, including payment, communications, hosting, mapping, analytics, or other providers. Third-party services may be governed by separate terms and policies. Proviazo is not responsible for services it does not control.
15. SUSPENSION AND TERMINATION
Proviazo may suspend, restrict, or terminate access when reasonably necessary because of nonpayment, fraud, abuse, security concerns, legal requirements, violations of these Terms, risk to other users, or misuse of the platform. You may stop using Proviazo at any time, subject to outstanding payment obligations and applicable subscription cancellation terms.
16. DISCLAIMERS
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIAZO IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PROVIAZO DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT EVERY USER, PRO, PROJECT, QUOTE, REVIEW, OR SERVICE WILL BE ACCURATE, AVAILABLE, SAFE, LICENSED, INSURED, SUITABLE, OR SUCCESSFUL.
PROVIAZO DOES NOT CONTROL THE QUALITY, SAFETY, LEGALITY, PRICING, OR PERFORMANCE OF INDEPENDENT SERVICES PROVIDED BY PROS. USERS ARE RESPONSIBLE FOR EVALUATING THE PARTIES WITH WHOM THEY CHOOSE TO TRANSACT.
17. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIAZO AND ITS OWNERS, OFFICERS, EMPLOYEES, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION ARISING FROM OR RELATED TO PROVIAZO OR AN UNDERLYING CUSTOMER-PRO TRANSACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROVIAZOS AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE PLATFORM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID DIRECTLY TO PROVIAZO DURING THE SIX MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR $100. Some jurisdictions do not allow certain exclusions or limitations, so portions of this section may not apply to you.
18. INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Proviazo and its owners, officers, employees, and affiliates from claims, liabilities, losses, and reasonable costs arising from your unlawful use of Proviazo, your violation of these Terms, your content, or, if you are a Pro, services you offer or perform.
19. GOVERNING LAW
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except to the extent applicable law requires otherwise. Any court proceeding permitted under these Terms will be brought in a court of competent jurisdiction in Ohio unless applicable law requires another venue.
20. CHANGES TO THESE TERMS
We may update these Terms as Proviazo evolves. The updated Terms will be posted on this page with a revised Last updated date. Where required by law, we will provide additional notice or obtain consent. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.
21. GENERAL TERMS
If any provision is found unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not transfer your account or obligations without permission where required. These Terms, together with policies or additional terms expressly incorporated into them, constitute the agreement governing use of Proviazo.
